In short
Inovatree drafts, reviews, negotiates and manages commercial contracts for Indian businesses. We cover the whole lifecycle: drafting and vetting, negotiation, contract abstraction, risk mitigation, obligation tracking, renewals and termination, so agreements protect your interests and disputes are prevented rather than litigated.
What we do
Contract drafting
Agreements that set out each party's rights, duties and terms after signing, with the essentials in place: offer, acceptance, consideration, lawful object and clear terms. We start from your requirements and business context, not a template.
Contract vetting
A review of contracts before you sign, with recommended additions and deletions, a compliance check and a clear note on the risks you would be accepting.
Negotiation
Support in negotiating price, quantity, delivery, liability and other commercial terms so your obligations and rights are defined clearly, including in disputes.
Contract abstraction
A short, plain-language summary of a long agreement capturing key clauses, dates, parties and payment terms, prepared for both legal and business readers.
Risk mitigation
Identifying where an agreement could go wrong, proposing de-risked terms, reviewing past issues and preparing contingency plans before problems arise.
Obligation management
Mapping each party's obligations against the governing law and internal policies to reduce ambiguity and support long-term relationships.
Contract administration
Managing agreements from formation to performance review and termination: tracking deliverables, payments, renewal and termination dates, and running a contract management system.
How we work
- 1Understand the deal
What you are buying or selling, the commercial risks and what success looks like.
- 2Draft or review
Clear drafting or a marked-up review with a short risk summary.
- 3Negotiate and sign
We support negotiation and check stamping and execution formalities.
- 4Manage
Key dates, obligations and renewals tracked so nothing lapses by accident.
Frequently asked questions
Are electronically signed contracts valid in India?
Yes. The Information Technology Act, 2000 recognises electronic signatures and electronic contracts. A few documents are excluded from the Act, including negotiable instruments other than cheques, powers of attorney, trusts, wills and contracts for the sale or conveyance of immovable property.
Do commercial contracts need stamp duty?
Most agreements attract stamp duty under the Indian Stamp Act or the relevant State stamp law, and the rate depends on the State and the type of document. An unstamped or under-stamped agreement cannot be admitted in evidence until the duty and penalty are paid.
What is contract abstraction?
Contract abstraction is a structured summary of an agreement that pulls out the key terms, such as parties, dates, payment, renewal, termination, liability and notice clauses, so business teams can act on them without reading the full document.
Which clauses cause the most disputes?
In our experience: payment and price adjustment, scope of work, delay and liquidated damages, limitation of liability and indemnity, termination rights and the dispute resolution clause. These deserve the closest attention before signing.
